Terms of Service

These Terms of Service (“Terms”) govern access to and use of the TUS Trip Updates platform (the “Service”), provided by TUSGLOBAL TECHNOLOGIES (OPC) PRIVATE LIMITED (“TUS Global”, “Company”, “we”, “us”, or “our”), a company registered in Kerala, India, with its registered office at 1st Floor, No.30/584/F, Chalakudi, Behind PWD Rest House, Thrissur, Kerala 680307, India.
By creating an account, accessing, or using the Service, you (“Customer”, “Agency”, “you”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity. If you do not agree to these Terms, do not access or use the Service.
1. Definitions
- “Service” means the TUS Trip Updates web application and related services made available by TUS Global, including tools for managing WhatsApp-based trip communications with travel group contacts.
- “Agency” or “Customer” means the travel/tourism business or individual that has registered for and uses the Service.
- “Authorized User” means any individual (owner, staff, or administrator) permitted by an Agency to access the Service on the Agency’s behalf.
- “WABA” means a WhatsApp Business Account connected to the Service by an Agency through Meta’s Embedded Signup process.
- “Contact” means an individual (such as a parent or guardian) whose details an Agency adds to the Service in order to send WhatsApp messages via the Service.
- “Customer Data” means data submitted, uploaded, or generated by an Agency or its Authorized Users through the Service, including Contact details and message content.
2. The Service
TUS Trip Updates is a multi-tenant software platform that allows travel and tourism agencies to send trip-related WhatsApp messages to parents/guardians of student or group travelers, manage contacts and consent, use pre-approved and custom message templates, and view a shared inbox of conversations.
TUS Global operates as a WhatsApp Business Solution / Technology Provider on Meta’s platform. Each Agency connects its own WhatsApp Business Account via Meta’s Embedded Signup flow; TUS Global does not own or control the underlying WhatsApp Business Account, phone number, or Meta Business Manager belonging to the Agency.
We may update, modify, or discontinue features of the Service from time to time. We will make reasonable efforts to notify Agencies of material changes that negatively affect core functionality.
3. Accounts
Accounts on the Service are currently provisioned by TUS Global’s platform administrators or by an Agency Owner on behalf of their own staff. Authorized Users activate their accounts via an emailed activation link.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@tusglobal.tech if you suspect unauthorized use of your account.
You must provide accurate and complete information when registering and keep it up to date.
4. Fees and Payment
- Access to the Service is provided on a paid, monthly subscription basis. Applicable fees will be communicated to the Agency at or before the start of a subscription.
- Billing is currently handled manually (e.g., by invoice) rather than through automated in-app payment processing. Payment terms (due dates, accepted payment methods) will be confirmed directly with each Agency. This may change in the future, in which case updated terms will be communicated in advance.
- Fees are exclusive of applicable taxes, which the Agency is responsible for unless stated otherwise.
- We reserve the right to suspend or restrict access to the Service for accounts with overdue payments, following reasonable notice.
- Except as required by law or expressly agreed in writing, fees already paid are non-refundable.
- We may change our fees for future billing periods with at least 30 days’ notice.
5. Agency Responsibilities
Consent. The Agency is solely responsible for obtaining and maintaining valid, lawful consent from each Contact before adding them to the Service and sending them WhatsApp messages, and for honoring opt-out requests. The Service provides tools (such as consent status tracking and automatic handling of STOP/START-style replies) to help with this, but using those tools does not by itself guarantee legal compliance — the Agency remains responsible for its own messaging practices and compliance with applicable law, including data protection and anti-spam/telecom regulations in the jurisdictions of its Contacts.
WhatsApp Policy Compliance. The Agency must comply with Meta’s WhatsApp Business Messaging Policy, WhatsApp Business Solution Terms, and all other applicable Meta platform policies. TUS Global acts as a technology provider facilitating the Agency’s use of the WhatsApp Business Platform and is not responsible for actions Meta takes with respect to an Agency’s WhatsApp Business Account (including suspension, restriction, or template rejection).
Acceptable Use. The Agency and its Authorized Users must not use the Service to:
- send unlawful, fraudulent, defamatory, harassing, or deceptive content;
- send messages without a lawful basis or valid consent;
- transmit malware or attempt to gain unauthorized access to the Service or other users’ data;
- reverse-engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law;
- use the Service to build a similar or competing product;
- resell or sublicense access to the Service without our prior written consent.
Accuracy. The Agency is responsible for the accuracy of Contact information and message content submitted through the Service.
6. Intellectual Property
TUS Global retains all right, title, and interest in and to the Service, including its software, design, and underlying technology. These Terms do not grant the Agency any rights to TUS Global’s intellectual property except the limited right to use the Service as set out here.
As between TUS Global and the Agency, the Agency retains ownership of its Customer Data. The Agency grants TUS Global a limited license to host, process, and transmit Customer Data solely to provide and support the Service.
7. Data Protection
Our collection and use of personal data in connection with the Service is described in our Privacy Policy, which forms part of these Terms. Where the Agency submits personal data about its Contacts to the Service, the Agency acts as the data controller/data fiduciary for that data, and TUS Global processes it on the Agency’s behalf and instructions, solely to provide the Service.
8. Confidentiality
Each party may have access to non-public information of the other party. Each party agrees to use the other’s confidential information only as necessary to perform under these Terms and to protect it with the same degree of care it uses for its own confidential information (and no less than reasonable care).
9. Term, Suspension, and Termination
These Terms remain in effect for as long as an Agency has an active account.
We may suspend or terminate access to the Service, with notice where reasonably possible, if an Agency materially breaches these Terms (including non-payment, misuse of the Service, or violation of WhatsApp/Meta policies) and fails to cure the breach within a reasonable period after notice, or immediately in cases of serious violations (e.g., unlawful use, security risk).
An Agency may stop using the Service and request account closure at any time by contacting support@tusglobal.tech.
Upon termination, the Agency’s right to access the Service ends. We will handle Customer Data on termination as described in our Privacy Policy, subject to any legal retention requirements.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT MESSAGES WILL BE DELIVERED, AS DELIVERY DEPENDS IN PART ON THIRD-PARTY PLATFORMS (INCLUDING META’S WHATSAPP BUSINESS PLATFORM) OUTSIDE OUR CONTROL.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUS GLOBAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES PAID BY THE AGENCY TO TUS GLOBAL FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
The Agency agrees to indemnify and hold TUS Global harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) the Agency’s Customer Data or message content; (b) the Agency’s failure to obtain valid consent from its Contacts; (c) the Agency’s violation of these Terms, applicable law, or Meta’s WhatsApp policies; or (d) the Agency’s misuse of the Service.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Subject to applicable law, the courts at Thrissur, Kerala, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (such as by email or an in-app notice) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. General
- Entire Agreement. These Terms, together with our Privacy Policy and any order/subscription confirmation agreed with an Agency, constitute the entire agreement between the parties regarding the Service.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
- Assignment. The Agency may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure. Neither party will be liable for delays or failures in performance resulting from causes beyond its reasonable control, including outages or policy changes by third-party platforms such as Meta.
- No Waiver. Failure to enforce any provision of these Terms is not a waiver of that provision.
